Agreement of the Parties
- Appointment, Acceptance & Scope
- Exclusive Appointment. Subject to the terms and conditions of this Wholesale Agreement, Company hereby appoints and grants Business the exclusive right to use Miskoka Beauty Product and purchase at a discounted rate.
- Products. The Products manufactured and sold by Company to Business for business purposes Hereunder are as follows: All Miskoka Beauty Inc. lash products, adhesives and accessories.
- Relationship of Parties. Business is an independent contractor and is not and shall not be deemed to be an employee, legal representative, dealer, general agent, joint venturer or partner of Company for any purpose.
- Orders, Price, Branding & Payment
- Communications Pursuant to this Wholesale Agreement and Orders. Orders shall be made with Company. Company understands that its timely acceptance of orders from Business Hereunder is an important element of this Agreement.
- Prices and Shipment. Company agrees to sell, and Business agrees to purchase, the Products
in accordance with the Prices and Volume Discount Prices set forth:
- Business must purchase all orders through the Company website with the minimum requirements listed below in section “e”. If said Business wishes to discontinue this Wholesale Agreement, they must have it in writing and will release their eligibility for Wholesale Discounts.
- Branding. Business must advertise products as they are, Miskoka Beauty products when using them for services. Business shall not be granted distribution rights and/or contract will be terminated if Retailer replaces branding, logos, etc.
- Payment. Business will be granted a 50% discount that will be used when purchasing orders through Miskoka Beauty Inc. website via credit card. Additional payment options and payment plans may be discussed further.
- Minimum Order. All account holders must uphold the following requirements. Failure to do so will result in the termination of their account.
- Initial order must surpass $500 at checkout.
- Require proof of Business License (if requested)
- Return. All products purchased via Miskoka Beauty will be subject to a 10% restocking fee if being returned.
